como representantes de la República, en todos los actos relacionados

PRESIDENCIA DE LA REPÚBLICA
Montevideo, 2 de Octubre de 2017
VISTO: el Contrato de Préstamo Nº 3792/OC-UR celebrado
entre la República Oriental del Uruguay y el Banco Interamericano
de Desarrollo (BID) para la ejecución del Programa de Desarrollo y
Fortalecimiento de la Gestión Fiscal y de Servicios Subnacionales;
RESULTANDO: I) que de acuerdo a lo establecido en la Cláusula
4.01 (b) de las Normas Generales del Contrato de Préstamo referido en
el Visto, el Organismo Ejecutor del mismo deberá designar funcionarios
que puedan representarlo, correspondiendo señalar si los designados
pueden actuar separadamente o si tienen que hacerlo de manera conjunta;
II) que la ejecución del Programa de Desarrollo y Fortalecimiento
de la Gestión Fiscal y de Servicios Subnacionales está a cargo de la
Ocina de Planeamiento y Presupuesto, a través de la Dirección de
Descentralización e Inversión Pública;
CONSIDERANDO: que de acuerdo a lo expresado, se considera
apropiado designar al Director de la Oficina de Planeamiento
y Presupuesto, al Sub Director de la Oficina de Planeamiento y
Presupuesto y al Director de la Dirección de Descentralización e
Inversión Pública de esa misma Ocina, actuando indistintamente,
como representantes de la República Oriental del Uruguay en todos
los actos relacionados con la ejecución del Programa de Desarrollo
y Fortalecimiento de la Gestión Fiscal y de Servicios Subnacionales;
ATENTO: a lo expuesto precedentemente;
EL PRESIDENTE DE LA REPÚBLICA
RESUELVE:

1º.- Desígnanse al Director de la Oficina de Planeamiento y
Presupuesto, Cr. Álvaro García, al Sub Director de la Ocina de
Planeamiento y Presupuesto Ec. Santiago Soto y al Director de
la Dirección de Descentralización e Inversión Pública, Sr. Pedro
Apezteguía, actuando indistintamente, como representantes de la
República Oriental del Uruguay en todos los actos relacionados con la
ejecución del Programa de Desarrollo y Fortalecimiento de la Gestión
Fiscal y de Servicios Subnacionales.

2º.- Pase a la División Jurídica de la Ocina de Planeamiento y
Presupuesto a sus efectos y comuníquese a los designados y el Banco
Interamericano de Desarrollo.

VISTO: el proyecto de Contrato de Préstamo Nº 8778-UY, a
celebrarse entre la República Oriental del Uruguay (ROU) y el Banco
Internacional de Reconstrucción y Fomento (BIRF), destinado a
nanciar el “Proyecto de Mejora en la Prestación de Servicio a través
del Gobierno Electrónico”.
RESULTANDO: I) que el monto total del nanciamiento asciende
a la suma de U$S 12:000.000 (doce millones de dólares de los Estados
Unidos de América), que será amortizado en un plazo de diecisiete
años y medio, con cinco años de gracia y con una tasa de interés
variable.
II) que dicho préstamo fue formalmente aprobado por el Directorio
Ejecutivo del BIRF en sesión de fecha 3 de agosto de 2017.
III) que el Ministerio de Economía y Finanzas será el prestatario
y organismo ejecutor del referido Contrato.
CONSIDERANDO: que corresponde proceder a la aprobación
del Contrato de Préstamo (Préstamo Nº 8778-UY), a celebrarse entre
la República Oriental del Uruguay (ROU) y el Banco Internacional de
Reconstrucción y Fomento (BIRF), así como autorizar que el mismo sea
suscrito, en representación del país, por el Señor Ministro de Economía
y Finanzas, Cr. Danilo Astori o por el Señor Subsecretario de Economía
y Finanzas, Cr. Pablo Ferreri, indistintamente.
ATENTO: a lo dispuesto por el artículo 145 de la Ley Nº 15.851
de 24 de diciembre de 1986 y por el artículo 33 de la Ley Nº 19.149 de
24 de octubre de 2013,
EL PRESIDENTE DE LA REPÚBLICA
RESUELVE:

1º.- Apruébase el proyecto de Contrato de Préstamo Nº 8778-UY, a
celebrarse entre la República Oriental del Uruguay (ROU) y el Banco
Internacional de Reconstrucción y Fomento (BIRF), por un monto
de hasta U$S 12:000.000 (doce millones de dólares de los Estados
Unidos de América), destinado a nanciar el “Proyecto de Mejora en
la Prestación de Servicio a través del Gobierno Electrónico”, cuyo texto
constituye parte integrante de la presente Resolución.

2º.- El referido Contrato será oportunamente otorgado y suscrito, en
nombre y representación del país, por el Señor Ministro de Economía y
Finanzas, Cr. Danilo Astori o por el Señor Subsecretario de Economía
y Finanzas, Cr. Pablo Ferreri, indistintamente.

3º.- Desígnanse, indistintamente, a los Dres. Ricardo Pérez Blanco,

Marcos Álvarez Rego y Fernando Scelza, para que expidan por la
República los dictámenes jurídicos correspondientes.

4º.- Dese cuenta a la Asamblea General, dentro de los diez días

5º.- Comuníquese y publíquese. Cumplido, pase a la Unidad de
Relacionamiento con Organismos Multilaterales del Ministerio de
Economía y Finanzas. Fecho, archívese.

Loan Agreement
(Improving Service Delivery to Citizens and Businesses through
E-Government Project)
between
REPUBLICA ORIENTAL DEL URUGUAY
and
INTERNATIONAL BANK FOR RECONSTRUCTION
AND DEVELOPMENT
LOAN AGREEMENT
Agreement dated as of the Signature Date, between REPUBLICA
ORIENTAL DEL URUGUAY (“Borrower”) and INTERNATIONAL
BANK FOR RECONSTRUCTION AND DEVELOPMENT (“Bank”).
The Borrower and the Bank hereby agree as follows:
ARTICLE I - GENERAL CONDITIONS; DEFINITIONS
1.01. The General Conditions (as dened in the Appendix to this
Agreement) constitute an integral part of this Agreement.
1.02. Unless the context requires otherwise, the capitalized terms
used in this Agreement have the meanings ascribed to them in
the General Conditions or in the Appendix to this Agreement.
ARTICLE II - LOAN
2.01. The Bank agrees to lend to the Borrower, on the terms and
conditions set forth or referred to in this Agreement, the amount
of twelve million Dollars, ($ 12,000,000), as such amount may
be converted from time to time through a Currency Conversion
in accordance with the provisions of Section 2.08 of this
Agreement (“Loan”), to assist in nancing the project described
in Schedule 1 to this Agreement (“Project”).
2.02. The Borrower may withdraw the proceeds of the Loan in
accordance with Section IV of Schedule 2 to this Agreement.
2.03. The Front-end Fee payable by the Borrower shall be equal to
one quarter of one percent (0.25%) of the Loan amount. The
Borrower shall pay the Front-end Fee not later than sixty days
after the Eective Date.
2.04. The Commitment Charge payable by the Borrower shall be
equal to one quarter of one percent (0.25%) per annum on the
Unwithdrawn Loan Balance.
2.05. The interest payable by the Borrower for each Interest Period
shall be at a rate equal to the Reference Rate for the Loan
Currency plus the Variable Spread; provided, however, that
the interest payable shall in no event be less than zero percent
(0%) per annum; and provided furthermore that, upon a
Conversion of all or any portion of the principal amount of
the Loan, the interest payable by the Borrower during the
Conversion Period on such amount shall be determined in
accordance with the relevant provisions of Article IV of the
General Conditions. Notwithstanding the foregoing, if any
amount of the Withdrawn Loan Balance remains unpaid when
due and such non-payment continues for a period of thirty
days, then the interest payable by the Borrower shall instead
be calculated as provided in Section 3.02 (e) of the General
Conditions.
2.06. The Payment Dates are February 15 and August 15 in each
year.
2.07. The principal amount of the Loan shall be repaid in accordance
with the amortization schedule set forth in Schedule 3 to this
Agreement.
2.08. (a) The Borrower may at any time request any of the
following Conversions of the terms of the Loan in order
to facilitate prudent debt management: (i) a change of
the Loan Currency of all or any portion of the principal
amount of the Loan, withdrawn or unwithdrawn, to an
Approved Currency; and (ii) a change of the interest rate
basis applicable to: (A) all or any portion of the principal
amount of the Loan withdrawn and outstanding from a
Variable Rate to a Fixed Rate, or vice versa; or (B) all or any
portion of the principal amount of the Loan withdrawn
and outstanding from a Variable Rate based on a Reference
Rate and the Variable Spread to a Variable Rate based
on a Fixed Reference Rate and the Variable Spread, or
vice versa; or (C) all of the principal amount of the Loan
withdrawn and outstanding from a Variable Rate based
on a Variable Spread to a Variable Rate based on a Fixed
Spread; and (iii) the seing of limits on the Variable Rate
or the Reference Rate applicable to all or any portion of the
principal amount of the Loan withdrawn and outstanding
by the establishment of an Interest Rate Cap or Interest Rate
Collar on the Variable Rate or the Reference Rate.
(b) Any conversion requested pursuant to paragraph (a) of
this Section that is accepted by the Bank shall be considered
a “Conversion”, as dened in the General Conditions,
and shall be eected in accordance with the provisions of
Article IV of the General Conditions and of the Conversion
Guidelines.
ARTICLE III - PROJECT
3.01. The Borrower declares its commitment to the objective of the
Project. To this end, the Borrower, through MEF, shall carry
out the Project in accordance with the provisions of Article
V of the General Conditions.
3.02. Without limitation upon the provisions of Section 3.01 of this
Agreement, and except as the Borrower and the Bank shall
otherwise agree, the Borrower shall ensure that the Project is
carried out in accordance with the provisions of Schedule 2
to this Agreement.
ARTICLE IV - EFFECTIVENESS; TERMINATION
4.01. The Additional Condition of Eectiveness consists of the
following, namely, that the Borrower has adopted the
Operational Manual in a manner acceptable to the Bank.
4.02. The Eectiveness Deadline is the date ninety (90) days alter
the Signature Date.
ARTICLE V - REPRESENTATIVE; ADDRESSES
5.01. The Borrower’s Representative is its Minister of Economy and
Finance.

SCHEDULE 1
Project Description
The objective of the Project is to improve the quality of selected
e-government services for citizens, businesses and the Borrower’s
public entities, and facilitate their access.
The Project consists of the following parts:
Part 1: Improving the Delivery of e-Government Services to
Citizens
1.1 Strengthening of AGESIC’s e-government service provision
through, inter alia:
(a) The development and implementation of a national
government data architecture in alignment with the
Borrower’s digital government plan including, inter
alia: (i) the preparation of a preliminary design of a data
architecture platform; (ii) the carrying out of a technical
and regulatory framework assessment; (iii) the issuance
of guidelines related to the Borrower’s governance
structure, security tools and data privacy protocols
needed for the national data architecture platform;
(iv) the carrying out of a pilot testing of the new data
architecture platform; (v) the provision of support for the
implementation of the data architecture platform across
the Borrower’s public entities; and (vi) the dissemination
of lessons learned;
(b) (i) the design of new smart services to enable a proactive
engagement with citizens; and (ii) the conceptual design
and development of a business analytics and intelligence
platform;
(c) (i) the development of a framework for citizen participation,
transparency and oversight mechanisms to promote
eective citizen engagement through electronic means;
(ii) the acquisition and implementation of e-participation
tools; and (iii) the development of an impact evaluation
of the implemented tools;
(d) the provision of support for the implementation of
the Borrower’s digital government plan through the
development and piloting of collaboration mechanisms
between the Borrower’s public entities and citizens to
address key public challenges and boost the development
of new smart and innovative public services; and
(e) the facilitation of access to government services and
information, and the prioritization of access in remote
areas, including, inter alia: (i) the acquisition and operation
of a mobile unit for engagement with citizens on the use
of eservices; and (ii) the design and implementation of a
citizen outreach strategy and training.
1.2 Strengthening of Centro Ceibal’s capacity to manage its
e-learning programs through, inter alia:
(a) the improvement of tools to manage users’ customer
service experience including: (i) the development of
a proposal for a new customer service model; (ii) the
development of a system for the registry of teachers’
lessons and the personalization of course oerings; (iii)
the development of a system to provide an integrated
overview of educational centers; (iv) the design and
implementation of a user self-management system; and
(v) the automatization of multichannel customer services;
(b) the provision of support for the establishment of a
computer security incidence response team, including: (i)
the carrying out of a diagnostic to deploy a cyber security
response strategy; (ii) the denition of initial policies and
procedures; and (iii) the provision of training to Centro
Ceibal’s personnel to manage the computer security
incidence response team’s operations;
(c) the strengthening of Centro Ceibal’s management
and back-office systems through the development
and implementation of new modules within the
Borrower’s enterprise resource planning system,
including, but not limited to modules for e-invoicing,
human resources management, budget management,
framework agreements, procurement, supply planning
and monitoring, and business intelligence;
(d) the provision of support to improve Centro Ceibal’s
data management, including: (i) the identication of
alternatives and strategies for data management; (ii)
the design and implementation of an institutional
data management policy and data management
methodologies; (iii) the carrying out of an assessment
of business intelligence needs; and (iv) the design and
implementation of business intelligence tools to integrate
various data sources and improve the analysis capacity
of Centro Ceibal;
(e) the provision of technical assistance and last-mile
connectivity to the existing national broadband
infrastructure to support the implementation of
broadband internet access in approximately 300 rural
schools, including, inter alia: (i) the carrying out of an
in-situ design survey; (ii) the development of initial and
detailed technical specications; (iii) the acquisition of
hardware and the conguration, assembly, and design
of the installation strategy; and
